Terms of Service

These terms govern use of this website (xbiniktos.com) and the Niktos fleet management platform (the "Platform"), operated by Niktos LLC ("Niktos", "we", "us"). By using the website or the Platform, you agree to these terms. If you are using the Platform on behalf of a company, you agree on that company's behalf and confirm you are authorized to do so. If your company has a signed agreement with Niktos, that agreement controls where it conflicts with these terms.
The service
The Platform is business software for trucking carriers: safety and DOT compliance management, dispatch, GPS/ELD tracking, fuel planning, fuel card management, invoicing, and settlements. It is provided as a subscription service and is intended for business use only.
Accounts
Accounts belong to a carrier organization. Administrators control who in their organization has access and with what permissions. You are responsible for keeping your credentials confidential and for activity under your account. Tell us promptly atdaniel@xbiniktos.com if you believe an account has been compromised.
Your data
Your company owns the data it enters into the Platform. You give us the rights needed to host, process, and display that data in order to provide the service, as described in ourPrivacy Policy. Your company is responsible for having the right to enter the data it enters, including personal information about its drivers and employees, and for the accuracy of its records.
Compliance stays yours
The Platform helps carriers organize and monitor records that US regulations require, but it is a tool, not a regulator, auditor, or law firm. Your company remains solely responsible for its own compliance with FMCSA, DOT, tax, and all other legal obligations. Alerts, scores, and generated documents can contain errors or gaps and do not guarantee a passing audit or inspection.
Messaging and consent
The Platform can send operational messages, including over WhatsApp, to drivers and staff. Your company must have each recipient's consent before directing messages to them and must stop messaging anyone who opts out. WhatsApp messaging is provided through the WhatsApp Business Platform operated by Meta, and use of WhatsApp is also subject to WhatsApp's own terms.
Acceptable use
Do not use the website or Platform to:
break the law or infringe others' rights; send spam or messages without consent; probe, disrupt, or overload our systems; access data belonging to another organization; upload malicious code; reverse engineer the Platform; or resell or provide the Platform to third parties without our written agreement. We may suspend access to protect the service or other customers.
Third-party services
The Platform connects to services your company chooses, such as GPS/ELD providers, fuel card providers, and WhatsApp. Those services belong to their providers, are governed by their own terms, and may change or fail independently of us. We are not responsible for third-party services, and data from them (including GPS positions and fuel prices) may be delayed, estimated, or inaccurate.
Fees
Subscription fees, billing terms, and any trial or beta terms are set out in your company's order or agreement with Niktos. Except where that agreement says otherwise, fees are non-refundable.
Intellectual property
Niktos owns the Platform, the website, and all related software, design, and branding. You may not use the Niktos name or logo without permission. If you send us feedback or suggestions, we may use them without obligation to you.
Term and termination
Your company may stop using the Platform at any time, subject to its order or agreement. We may suspend or terminate access for breach of these terms, non-payment, or risk to the service, with notice where practical. On termination we handle customer data as described in thePrivacy Policy: export on request, then deletion, except records we must retain by law.
Disclaimers
The website and Platform are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Without limiting that: estimated fuel savings are estimates; GPS and telematics data depend on third-party devices and networks; and no feature guarantees regulatory compliance or the outcome of any audit, inspection, or dispute.
Limitation of liability
To the maximum extent the law allows, Niktos will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business, arising from or related to the website or Platform. Our total liability for all claims in any twelve-month period is limited to the amounts your company paid us for the Platform in that period.
Indemnification
Your company will defend and hold Niktos harmless from claims arising out of its data, its use of the Platform in violation of these terms, or its violation of law, including messaging recipients without consent.
Governing law
These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Texas, and each party consents to their jurisdiction.
Changes
We may update these terms as the service evolves. We will post the new version here and update the date at the top; material changes will be communicated to carriers directly. Continued use after changes take effect means acceptance of the updated terms.
